Relationship building continues to close deals, not just offer value
In advising wealth and asset management firms through M&A transactions, we have consistently observed one defining pattern:
The highest price does not automatically win.
Valuation matters. Strategic fit matters. Economics absolutely matters. But when we look back at the transactions that have closed recently, the deciding factor was often the interpersonal relationship between buyer and seller.
Not the extra turn of EBITDA.
Not a slightly higher cash component.

Strategic Fit and Economics Get You to the Table
In nearly every process we have been involved in, multiple buyers present compelling strategic rationales:
- Strong capital backing
- Infrastructure to support growth
- Expanded service offerings
- Succession solutions
- Attractive deal structures
In many cases, the economics are relatively comparable. When serious buyers compete, the range between offers often narrows. The difference between 11.5x and 12x EBITDA, or modest variations in structure, rarely changes a seller’s outcome in a transformational way.
Once strategic alignment and financial terms fall within a similar band, the conversation shifts.
That is when relationships begin to matter most.
Wealth Management Is Personal, and So Are Its Transactions
Advisory firms are built on trust. Owners spend decades developing client relationships, mentoring employees, and building a reputation in their community. When they sell, they are not just monetizing a revenue stream. They are transitioning into something deeply personal.
Recently, we have seen sellers gravitate toward buyers who:
- Take the time to understand culture
- Are transparent about integration
- Follow through on small commitments during diligence
- Invest time in building genuine personal connections with the seller and the leadership team
When two offers are economically close and strategically viable, sellers consistently choose the party they trust most.
What We Are Seeing
Our perspective is straightforward:
Strategic fit sets the foundation.
Economics validate the decision.
Relationships close the deal.
When all three align, transactions move efficiently and with conviction. When relationships are weak, even strong valuations can struggle to reach the finish line.
In wealth management M&A, price may start the conversation, but trust is what ultimately finishes it.
Our Approach
At InCap Group, we believe running a disciplined process is critical, but so is thoughtfully positioning our clients with partners who align strategically, culturally, and personally. Our role is not simply to maximize price. It is to help owners evaluate the full picture and select the right long-term partner with confidence.
